Terms of Service

By accessing or using StudioNuggies.com (the "Site"), submitting materials, requesting demonstrations, downloading files, or otherwise interacting with Studio Nuggies Inc. ("Studio Nuggies," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms").

1. Acceptance of Terms

By accessing or using the Site, you agree to comply with these Terms and all applicable laws and regulations.

If you do not agree to these Terms, do not use the Site.

2. User Responsibilities

You agree to use the Site only for lawful purposes.

You may not:

  • Submit unlawful, infringing, defamatory, or harmful content.

  • Upload malware, viruses, or malicious code.

  • Attempt to gain unauthorized access to the Site or its systems.

  • Interfere with the operation or security of the Site.

  • Use the Site in violation of any applicable law or regulation.

3. Submissions

Certain features may permit you to submit dialogue, audio, files, project information, or other materials ("Submissions").

By providing Submissions, you represent and warrant that:

  • You own or have all necessary rights and permissions to submit such materials.

  • Your Submissions do not violate any law, contract, confidentiality obligation, or third-party right.

  • Your Submissions do not contain confidential, proprietary, unreleased, or sensitive information.

You are solely responsible for all Submissions and their contents.

Submission Limits

To maintain service availability and ensure fair access for all users, Studio Nuggies may impose limits on the length, size, format, quantity, frequency, and complexity of submissions.

Evaluation submissions are intended to contain approximately 1–2 sentences or no more than 10 seconds of dialogue.

Studio Nuggies reserves the right, in its sole discretion, to reject, limit, truncate, defer, remove, or decline to process any submission that exceeds these limits or otherwise places unreasonable demands on available resources.

4. License to Submitted Materials

By submitting materials through the Site, you grant Studio Nuggies a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, process, analyze, display, and create derivative works from such materials solely for:

  • Evaluation requests

  • Demo generation

  • Product testing

  • Quality assurance

  • Internal research and development

  • Operational and business purposes related to the requested service

This license continues only as reasonably necessary to perform these purposes and maintain related business records.

5. Generated Outputs

Studio Nuggies may generate evaluation materials, previews, videos, animations, temporary audio, or other outputs based on submitted content.

Unless otherwise agreed in writing:

  • Generated outputs are provided solely for evaluation and demonstration purposes.

  • Studio Nuggies makes no guarantee regarding accuracy, suitability, completeness, or production readiness.

  • Studio Nuggies may decline to generate outputs for any submission.

  • Submission of materials does not guarantee delivery of a sample, response, or completed output.

6. Demo Characters and Generated Audio

Sample generation may use Studio Nuggies owned demo characters, voices, dialogue, and other internally selected assets.

Voice selection, emotional direction, performance tuning, revisions, and custom character support may not be available.

Studio Nuggies reserves the right to determine how evaluation samples are generated.

7. Downloadable Materials

The Site may provide downloadable files, sample projects, videos, documentation, or other materials.

Unless otherwise stated:

  • Downloads are provided for evaluation and informational purposes only.

  • Downloads may not be redistributed, resold, sublicensed, or represented as your own work.

  • Studio Nuggies may modify, remove, or discontinue downloads at any time.

8. Intellectual Property

The Site, including all content, branding, trademarks, software, graphics, videos, downloads, documentation, and related materials, is owned by Studio Nuggies Inc. or its licensors.

No ownership rights are transferred to users except for the limited rights expressly granted under these Terms.

9. Privacy

Your use of the Site is also governed by our Privacy Policy.

10. No Warranty

The Site and all related services, downloads, generated outputs, and materials are provided "as is" and "as available."

Studio Nuggies disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy.

11. Limitation of Liability

To the maximum extent permitted by law, Studio Nuggies, its officers, employees, contractors, affiliates, and agents shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from:

  • Use of the Site

  • Submitted materials

  • Generated outputs

  • Downloaded files

  • Inability to access the Site

  • Loss of data

  • Business interruption

Your sole remedy for dissatisfaction with the Site is to discontinue use.

12. Indemnification

You agree to defend, indemnify, and hold harmless Studio Nuggies from any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Your use of the Site

  • Your Submissions

  • Violation of these Terms

  • Violation of any third-party rights

13. Termination

Studio Nuggies may suspend, restrict, or terminate access to the Site or any service at any time and for any reason without notice.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

15. Changes to Terms

We may update these Terms at any time.

Updated Terms will be posted on this page with a revised Effective Date. Continued use of the Site constitutes acceptance of the revised Terms.
